1. Acceptance of Terms

Welcome to Mahakalp. By accessing or using our semantic code intelligence platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

Mahakalp provides a semantic code intelligence platform that enables developers to:

• Connect and index code repositories
• Perform semantic code search
• Analyze code structure and dependencies
• Access code intelligence features

We offer multiple subscription tiers (FREE, STARTER, PROFESSIONAL, BUSINESS) with varying features and usage limits.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose security risks.

4. Subscription and Billing

4.1 Subscription Plans

Subscription details:

• FREE: Limited features with usage quotas
• STARTER: Monthly subscription with increased limits
• PROFESSIONAL: Advanced features and higher quotas
• BUSINESS: Enterprise features and custom limits

4.2 Payment Terms

• All payments are processed securely through Razorpay
• Subscription fees are billed monthly or annually in advance
• Prices are in Indian Rupees (INR) unless otherwise stated
• All fees are non-refundable except as required by law
• Failed payments may result in service suspension

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before renewal. You will be charged at the then-current rate.

4.4 Price Changes

We reserve the right to modify subscription prices with 30 days notice. Price changes will not affect your current billing period.

5. Usage Limits and Fair Use

5.1 Quota Limits

Each subscription tier has specific limits on:

• Number of searches per month
• Lines of code that can be indexed
• Number of repositories
• API request rates

5.2 Fair Use Policy

You agree NOT to:

• Exceed rate limits or attempt to circumvent usage quotas
• Use automated scripts to generate excessive requests
• Share account credentials with multiple users
• Resell or redistribute our Service without permission
• Use the Service for illegal or unauthorized purposes

6. Intellectual Property Rights

6.1 Your Code

You retain all ownership rights to your source code. By using our Service, you grant us a limited license to:

• Index and analyze your code repositories
• Store processed code representations
• Generate search results and code intelligence
• Provide the Service functionality

We do NOT claim ownership of your code and will not use it for purposes beyond providing the Service.

6.2 Our Platform

All rights, title, and interest in the Mahakalp platform, including software, algorithms, designs, and trademarks, remain our exclusive property. You may not:

• Copy, modify, or reverse engineer our platform
• Create derivative works based on our Service
• Remove or alter proprietary notices
• Use our branding without written permission

7. Data Privacy and Security

Your use of the Service is governed by our Privacy Policy. Key points:

• Your code is stored securely and isolated per account
• We use industry-standard encryption
• We do not share your code with third parties
• You can delete your data at any time

8. Service Availability

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice. We are not liable for any modifications or interruptions.

9. Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Interfere with other users' access to the Service
• Scrape or harvest data from the platform
• Use the Service to store or distribute illegal content
• Engage in fraudulent or deceptive practices

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of results
• Uninterrupted or error-free operation
• Security or freedom from viruses

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Third-party actions or content

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in Bangalore, India.

13.2 Dispute Resolution

In the event of a dispute, parties agree to first attempt resolution through good faith negotiations. If unsuccessful, disputes will be resolved through arbitration in accordance with Indian arbitration laws.

14. Termination

14.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

14.2 By Us

We may terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay subscription fees
• Pose a security risk

14.3 Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• Your data will be deleted according to our Privacy Policy
• No refunds will be provided for partial periods
• Provisions that should survive termination will continue

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Mahakalp.

15.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full force.

Failure to enforce any right or provision does not constitute a waiver of that right.
